James I. Healy, M.D., Ph.D., Chairman of the Board

Dr. Healy is a General Partner at Sofinnova Ventures. Dr. Healy has over 15 years of experience in biomedical research and development. He joined Sofinnova Ventures as a General Partner in 2000. Dr. Healy was an early investor and board member of Cellective (acquired by MedImmune), CoTherix (acquired by Actelion), Novacea (Nasdaq: NOVC), and InterMune (Nasdaq: ITMN). He also serves on the boards of directors of several private companies.

In the pharmaceutical industry, he held a manufacturing position at Bayer Pharmaceuticals (Miles) and helped guide the discovery group at ISTA Pharmaceuticals prior to its initial public offering. Dr. Healy authored or co-authored numerous research articles and reviews, including three papers published in Nature. He began his private equity career at Sanderling.

Dr. Healy earned B.A.s in Molecular Biology and Scandinavian Studies from the University of California at Berkeley, where he graduated with Distinction in General Scholarship, Honors, and received a Departmental Citation. Dr. Healy received his M.D. from Stanford University's School of Medicine through the Medical Scientist Training Program, and earned his Ph.D. in Immunology from Stanford University, where he was a Beckman Scholar and received a bursary award from the Novartis Foundation. Dr. Healy teaches a course on entrepreneurship at Stanford University, and is an active member of the BIO-NVCA Working Group.

Dennis Henner, Ph.D., Director

Dr. Henner has been Managing Director of Clarus Ventures since the firm's inception in 2005. He has over 27 years of direct industry and investment experience within the healthcare sector, including being a General Partner in a healthcare venture capital firm since 2001. From 1981 to 2001, Dr. Henner was an executive at Genentech where he held various positions, including Senior Vice President of Research, and member of Genentech's executive committee.

Dr. Henner received his Ph.D. from the Department of Microbiology at the University of Virginia and did postgraduate training at the Scripps Clinic and Research Foundation.

In addition to KaloBios, Dr. Henner represents Clarus Ventures on the Board of Directors of CoMentis, Ferrokin, Pelikan Technologies, ProActa, SARcode, and Ceregene.

Previous directorships include Cellerant, Rinat (acquired by Pfizer), Rigel, Synergia, and Tercica (spinout from Genentech).

Douglas E. Kelly, M.D., Director

Dr. Kelly has worked with the partners of Alloy Ventures since 1993 and was a founding member of the firm. He currently focuses on investments in medical device companies.

Trained as a physician, Dr. Kelly is a long-time venture investor with 15 years of experience in bridging the needs of the business and medical communities with novel applications of technology to create world-class companies. Prior to joining Alloy Ventures, he worked for two European venture capital firms, in business development at Ligand Pharmaceuticals, and as an independent consultant. Additionally, Dr. Kelly teaches "Business 16 - Financing The Startup" at Stanford Univeristy. Dr. Kelly received a B.A. in Biochemistry and Molecular Biology from the University of California at San Diego (1983), an M.D. from the Albert Einstein College of Medicine in 1988, and an M.B.A. from Stanford University (1990).

In addition to KaloBios, Dr. Kelly serves on the Board of Directors of Aegea, Arbor Surgical, Barrx, CoAlign Innovations, Crux Biomedical,Novasys,and Restoration Robotics.

Dr. Kelly has invested in many leading medical device and biotech companies, and previously served on the boards of Adiana (acquired by Cytyc/Hologic), Camitro (acquired by Arqule), Fusion Medical (acquired by Baxter), Integrated Biosystems (acquired by Stedim SA), Pharsight (acquired by Tripos), and Sapient Health Network (acquired byWebMD/Healtheon).

Brigitte Smith, Director

Ms. Smith is Co-Founder and Managing Partner of GBS Venture Partners. Ms. Smith co-founded GBS in 1997 with 10 years experience in business strategy and hands-on management of start-up company operations. Before joining GBS she worked with high-tech start-up companies in Australia and the US in fundraising and business development roles. She also spent several years at Bain & Company, a strategic management consulting firm. In addition to KaloBios, Ms. Smith is also on the board of the following GBS portfolio companies: Applied Physiology, Cortical, Dynamic Hearing, Neuromonics, Proacta Inc, and Viveve.

Ms. Smith earned her Bachelor of Chemical Engineering (Honours) from the University of Melbourne, her Master of Business Administration (Honours) from the Harvard Business School and her Master of International Relations from the Fletcher School of Law and Diplomacy in Boston, USA where she was a Fulbright Scholar. Ms. Smith is a Fellow of The Australian Institute of Company Directors and an adjunct Senior Lecturer at the Melbourne Business School, where she teaches Entrepreneurial Finance.

Denise M. Gilbert, Ph.D., Director

Dr. Gilbert is currently an independent consultant and strategic advisor to life science companies. Previously, she served as Chief Executive Officer of Entigen Corporation, a private life science information technology company. In addition, Dr. Gilbert has served as Chief Financial Officer of two public life science companies, Incyte Pharmaceuticals Inc. and Affymax NV . Dr. Gilbert started her career in biotechnology in the mid-1980's first in venture capital and then as a senior biotechnology analyst with Smith Barney Harris & Upham and Montgomery Securities. Dr. Gilbert holds a B.A. from Cornell University and a Ph.D. in Cell and Development Biology from Harvard University.

Raymond Withy, Ph.D., Director

Dr. Withy has over twenty years experience in the biotechnology industry. He was, most recently, President and Chief Executive Officer of Abgenix, Inc. until his retirement in 2004. He was also a member of the Board of Directors of Abgenix until June 2005. As one of the co-founders of Abgenix in 1996, Dr. Withy initially served as its Vice-President, Business Development, then its Chief Business Officer and then President before becoming its CEO. Prior to the founding of Abgenix, Dr.Withy held various business development positions at Cell Genesys, Inc. From 1991 to 1993, Dr. Withy was a consultant to the industry in the areas of business development and strategic planning. Dr. Withy held various research and development positions at Genzyme Corp. and Integrated Genetics, which he joined in 1984. Dr. Withy received a B.Sc. in Chemistry and Biochemistry and a Ph.D. in Biochemistry, both from the University of Nottingham, UK and was a post-doctoral research fellow at the California Institute of Technology.

Ted W. Love, M.D., Director

Dr. Love is Executive Vice President and Head of Research & Development at Onyx Pharmaceuticals. He is the former Chairman of the Board of Directors of Nuvelo, Inc., a publicly traded biopharmaceutical company engaged in developing innovative drugs for acute cardiovascular and cancer therapy. He joined Nuvelo in 2001 as President and Chief Executive Officer and became Chairman of the Board in September 2005. Dr. Love joined Nuvelo from Theravance, Inc., where he served as Senior Vice President of Development. Previously, he spent six years at Genentech, Inc., where he held a number of senior management positions in medical affairs and product development and served as chairman of Genentech's Product Development Committee. As Vice President of Product Development and Regulatory Affairs at Genentech, Dr. Love oversaw all drugs in development, including Herceptin®, Rituxan®, and TNKase®. Dr. Love also serves as a member of the boards of directors of Santarus, Inc., Affymax and ARCA biopharma. In addition, he serves on the California Independent Citizens' Oversight Committee (ICOC), the 29-member board that oversees the $3 billion allocated to stem cell research authorized by Proposition 71. Dr. Love earned his bachelor's degree in molecular biology from Haverford College and his medical degree from Yale Medical School.

David W. Pritchard, Director

Mr. Pritchard has been the President and Chief Executive Officer of KaloBios since 2006. Mr. Pritchard joined KaloBios with more than 25 years of experience in general management, business development and financial management within the biopharmaceutical industry. Prior to his current role at KaloBios, Mr. Pritchard held the position of Chief Business Officer at Rinat Neuroscience Corporation, where he managed the negotiations on the acquisition of Rinat by Pfizer for a reported $500 million. Prior to that he was Chief Financial Officer at Matrix Pharmaceuticals, and managed the sale of the company to Chiron Corporation in 2002 (now Novartis). Between 1992 and 2000 Mr. Pritchard served as Vice President, Business Development and Chief Financial Officer of Metabolex, Inc. where he completed three rounds of financing and negotiated four worldwide corporate alliances with major pharmaceutical companies, and in-licensed Metaglidasen. He started his biotechnology career at Triton Biosciences, Inc. as one of the founding managers, where he held various positions, including heading up the sales and marketing efforts, commercial development, a business unit, and ultimately managed the sale of Triton (predominately to Schering AG, now Bayer). Triton developed Betaseron® for multiple sclerosis (2005 sales exceeded $1 billion), and Fludara® for leukemia. David holds an M.B.A. degree from Stanford University, and a B.S. in Chemical Engineering from Cornell.
